SINGAPORE

Local Employment Laws

Employment contracts must state:

  • (i) Employee & employer’s name,
  • (ii) Job title and responsibilities,
  • (iii) Employment commencement date and duration,
  • (iv) Working hours,
  • (v) Salary, CPF contributions and other rumunerations,
  • (vi) number of days of annual leave,
  • (vii) notice period for termination of employment and
  • (viii) probation period

Hiring of foreigners must follow strictly the Ministry of Manpower (MOM) guidelines, criteria and quota

CPF contribution by employer – CPF (Central Provident Fund) is the social insurance and security fund equivalent for Singaporean citizens and permanent residents

Business Regulations & Licensing

Every sector/industry in Singapore is regulated by their respective regulatory bodies

For example, a finance-related company needs to operate in accordance to the rules and regulations of the Monetary Authority of Singapore (MAS) while a construction-related company has to adhere to the regulations set out by the Building & Construction Authority (BCA)

HONG KONG

Local Employment Laws

Companies will need to comply with the 2010 Employment Ordinance when it comes to employing staff and workers. In Hong Kong, these include adhering to

  • (i) non-biasness of hiring foreigners with proper reasoning and justification,
  • (ii) minimum wage law and
  • (iii) social security fund

Business Regulations & Licensing

All Hong Kong companies must apply for their respective business license within the first month of incorporation. Hong Kong’s Trade and Industry Department classifies these businesses in 2 broad categories: products or services

BRITISH VIRGIN ISLANDS (BVI)

For BVI companies, certain businesses, for example financial companies, will require approval and licensing from BVI authorities

CHINA

Local Employment Laws

Employers will need to contribute to their employees social security and insurance. The rates differ from region to region, and range from 26% – 40%

Chinese employment laws also prevent termination of employees without a valid and justifiable reason

Business Regulations & Licensing

Chinese companies will need to apply for a business license with the provincial government

MALAYSIA

ONSHORE MALAYSIAN COMPANIES (SDN BHD)

Local Employment Laws

When hiring of locals, employers will need to contribute to the Employee Provident Fund (EPF), an equivalent of social security fund

The criteria of hiring of foreigners for non-export oreiented industries are

  • (i) total sales of MYR 2 million and above and
  • (ii) minimum paid up capital of MYR 100,000

Business Regulations & Licensing

Licensing is required for the following businesses:

  • (i) banking,
  • (ii) building & construction,
  • (iii) manufacturing,
  • (iv) oil & gas and
  • (v) whole and retail trade

MALAYSIA

OFFSHORE MALAYSIAN COMPANIES (LABUAN)

Business Regulations & Licensing

For companies engaging in Islamic financial services, banking, insurance, fund management, leasing, factoring transactions and accounting, prior approval is required from Labuan FSA

Any dealing or transactions with Malaysian residents need to be reported to Labuan FSA

INDONESIA

Business Regulations & Licensing

Licensing is required for all businesses. For example, general trading requires a Trading Business License (SIUP, Surat Izin Usaha Perdagangan), while a mining business requires a Mining Business License ( IUP, Izin Usaha Pertambangan)

VIETNAM

Business Regulations & Licensing

All businesses in Vietnam require a permit from the government

For professional services such as medical, accounting or architecture, a license is needed to practice in Vietnam
